These Business Terms of Service ("Terms") govern the use of the Local Lens Content platform ("Local Lens," "we," "our," or "us") by any business, brand, agency, or individual ("Business," "you," or "your") that submits projects, purchases content, or otherwise engages Creators through the Platform.

By creating a Business or Client account, submitting a project brief, or purchasing content through the Platform, you agree to these Terms.

1. Purpose

Local Lens operates a two-sided marketplace connecting businesses with independent content Creators ("Creators") to produce social-first photo and video content. Local Lens manages Creator sourcing, project communications, quality review, and payment processing, and delivers approved Content to Businesses according to the terms below.

Local Lens is not a party to any agreement between Business and its own customers, and does not itself create Content — Content is produced by independent Creators engaged through the Platform.

2. Eligibility

To become a Business/Client, you must:

  • Be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or the business you represent;
  • Provide accurate and current account and billing information;
  • Maintain a valid payment method on file;
  • Complete any verification requested by Local Lens.

Local Lens reserves the right to approve, reject, suspend, or remove Business accounts at its discretion.

3. Nature of Services

Local Lens facilitates the creation of Content by independent Creators. Business acknowledges and agrees that:

  • Local Lens does not guarantee the availability of any specific Creator, a minimum number of Creator applicants or pitches for a project, or a specific delivery timeline beyond what is stated in a project brief;
  • Creators are independent contractors and are not employees, agents, or representatives of Local Lens;
  • Local Lens reviews Content for compliance with the project brief and general quality standards, but does not guarantee that Content will meet Business's subjective creative preferences beyond the agreed revision process described in Section 6;
  • Local Lens does not guarantee any specific business outcome, engagement metric, or marketing result from use of the Content.

4. Business Responsibilities

Business agrees to:

  • Provide a clear, accurate, and complete project brief, including creative direction, brand guidelines, required disclosures, and any legal or regulatory requirements applicable to Business's industry;
  • Respond to Creator pitches, concepts, and content submissions within the timeframes specified at checkout or in the project brief;
  • Provide timely feedback during the revision process described in Section 6;
  • Ensure that any materials, products, locations, or information Business supplies to a Creator are accurate, safe to use, and lawfully provided;
  • Use Content only as permitted under Section 7 of these Terms.

Business is solely responsible for the accuracy and legality of the project brief, including any claims, disclosures, or regulatory requirements specific to Business's industry (for example, health, financial, or alcohol-related claims).

5. Project Briefs and Ordering Process

Each project begins with a brief submitted by Business through the Platform, specifying deliverables, creative direction, timeline, and budget.

Based on the submitted brief, Local Lens will prepare a proposal outlining the recommended project scope, deliverables, timeline, and pricing. Pricing is determined by the deliverable type, scope, usage rights, and timeline requested, and does not vary based on which Creator is ultimately assigned to fulfill the project. The brief is not published for Creators to pitch on until Business reviews and approves this proposal through the Platform. Business may request changes to the proposal prior to approval. Local Lens reserves the right to decline to proceed with a brief it determines is unclear, infeasible, or inconsistent with Platform policies.

Once Business approves the proposal, the approved price is final for that project, and Local Lens is responsible for matching the brief with a suitable Creator within that scope. The brief is published to eligible Creators, who may submit pitches or concepts for Business's review. Once Business approves a pitch or concept, the project moves into production. Business acknowledges that changes to an approved proposal, pitch, or concept after production has begun may result in additional fees or timeline extensions, communicated in advance where possible.

6. Content Review, Approval, and Revisions

Business will review submitted Content and may request revisions consistent with the approved brief. Business is entitled to up to [2] rounds of reasonable revisions per deliverable at no additional cost, unless otherwise specified for a given project. Revision requests must be:

  • Consistent with the originally approved brief, pitch, or concept; and
  • Submitted within the review window specified for the project.

Requests that materially expand or change the scope of the original brief may be treated as a new project or subject to additional fees, communicated to Business before work begins.

Content is deemed approved, and payment obligations become final, upon the earlier of (a) Business's affirmative approval through the Platform, or (b) expiration of the applicable review window without a revision request or rejection.

7. License and Use of Content

Upon full payment for a project, Local Lens grants Business the rights to use the approved Content as specifically outlined in Business's final approved proposal under Section 5, including the scope of permitted use, duration, and channels (for example, organic social media, paid social advertising, website use, or broader commercial use). Usage rights are structured according to the standard tiers defined in Local Lens's Content Usage & Licensing Policy, which is incorporated into these Terms by reference. The usage tier, scope, and term stated in the approved proposal govern that project and supersede any general description of rights elsewhere in these Terms.

Business acknowledges that:

  • Local Lens (not Business) holds underlying ownership of the Content's intellectual property, as assigned to Local Lens by the Creator under the Creator Agreement, except where a project's approved proposal expressly includes a full rights transfer or exclusive buyout under the Content Usage & Licensing Policy, in which case the terms of that proposal govern;
  • Use of the Content beyond the scope or term granted in the approved proposal (for example, extending an expired license, or using Organic Only Content in paid advertising) is not permitted unless Business obtains an upgraded or renewed proposal under the Content Usage & Licensing Policy and pays any associated fee;
  • Business may not resell, sublicense, or redistribute the Content as a standalone product (for example, reselling raw footage to a third party) unless expressly permitted in the approved proposal or in writing;
  • Business may not use the Content in a manner that is unlawful, defamatory, or that falsely implies a Creator's endorsement of an unrelated product or service beyond the scope of the approved brief;
  • Any individuals or private property appearing in the Content have been released for commercial use through Local Lens's standard release process; Business should promptly notify Local Lens if it becomes aware of any issue with a release for Content it has received.

8. Payment Terms

Pricing for each project is fixed at proposal approval as described in Section 5. A deposit of 50% of the total project price is due upon proposal approval, before the brief is published to Creators. The remaining balance is due upon Business's approval of the final Content, prior to delivery. The approved price does not change based on which Creator is subsequently assigned to the project.

Business authorizes Local Lens to charge Business's payment method on file for the deposit, the balance, and any applicable late fees or cancellation fees under this Section and Section 9.

All fees are exclusive of applicable taxes unless stated otherwise.

Local Lens may suspend active projects or withhold delivery of Content for accounts with an outstanding balance.

Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.

9. Cancellations and Refunds

Business may cancel a project prior to Creator acceptance for a full refund, less any non-refundable platform or processing fees.

Once a Creator has been assigned or has begun production, cancellation may be subject to a partial charge to cover work already performed, calculated based on the project stage reached.

Refunds are not available for Content that has been approved under Section 6, except where Local Lens determines in its discretion that the Content materially fails to meet the approved brief.

Local Lens's decision on refund eligibility disputes is final absent a successful outcome through the dispute resolution process in Section 21.

10. No Guarantee of Results

Business acknowledges that Local Lens makes no representation or warranty regarding the commercial performance of any Content, including engagement, conversion, sales, or other marketing outcomes. Creative and strategic recommendations provided by Local Lens or Creators are suggestions only, and Business remains responsible for its own marketing and business decisions.

11. Model Releases and Third-Party Content

Local Lens requires Creators to obtain releases from identifiable individuals and property owners featured in Content, consistent with Local Lens's standard release process. If Business requests that specific named individuals (for example, Business's own staff or customers) appear in Content, Business is responsible for facilitating any necessary consent or cooperation from those individuals, and for promptly flagging to Local Lens any concerns about a specific person's inclusion in the Content.

12. Confidentiality

Each party may receive confidential information from the other in connection with a project, including unreleased campaigns, pricing, and business strategy. Each party agrees to use the other's confidential information only as necessary to perform under these Terms and not to disclose it to third parties without consent, except as required by law. This obligation survives termination of these Terms.

13. Non-Circumvention

Business agrees not to solicit or directly engage a Creator introduced through the Platform for services outside the Platform for a period of 12 months following the last completed project with that Creator, unless written permission is provided by Local Lens. This provision protects Local Lens's marketplace and does not restrict Business's ability to work with Creators it independently identifies outside the Platform. This obligation survives termination of these Terms and remains binding for the full 12-month period regardless of when Business's account is closed.

14. Business Representations and Warranties

Business represents and warrants that:

  • Business has the legal right to request the use of any brand assets, trademarks, products, or locations included in a project brief;
  • Any claims, disclosures, or instructions included in a project brief comply with applicable advertising, consumer protection, and industry-specific regulations (including, where relevant, FTC endorsement guidelines);
  • Business will not direct a Creator to create Content that is unlawful, infringing, defamatory, or deceptive;
  • Business's use of approved Content will comply with applicable law and the license granted under Section 7.

15. Business Data and Privacy

Local Lens will handle Business account and payment information in accordance with its Privacy Policy. Business is responsible for ensuring that any personal data it provides to Local Lens or a Creator (for example, customer information included in a brief) is provided in compliance with applicable privacy laws.

16. Term and Termination

These Terms remain in effect while Business maintains an active account. Either party may terminate by providing written notice. Local Lens may suspend or terminate a Business account immediately for breach of these Terms, fraud, non-payment, or misuse of the Platform.

Provisions relating to intellectual property, confidentiality, non-circumvention, payment obligations, indemnification, limitation of liability, and dispute resolution survive termination.

17. Disclaimer of Warranties

The Platform and Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Local Lens disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in these Terms.

18. Limitation of Liability

To the maximum extent permitted by law:

  • Local Lens shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits or lost business opportunities;
  • Local Lens's aggregate liability arising out of these Terms or any project shall not exceed the total amount paid by Business to Local Lens for the project giving rise to the claim during the six (6) months preceding the event giving rise to the claim.

19. Indemnification

Business agrees to indemnify and hold harmless Local Lens and its Creators from claims arising from:

  • Business's breach of these Terms;
  • Business's use of Content outside the scope of the license granted in Section 7;
  • inaccurate, unlawful, or infringing instructions or materials Business provides in a project brief;
  • Business's violation of applicable law, including advertising or consumer protection law.

20. Force Majeure

Neither party is liable for delay or failure to perform obligations under these Terms due to causes beyond its reasonable control, including natural disasters, labor disputes, internet or platform outages, or governmental action.

21. Dispute Resolution

Any dispute arising from these Terms shall first be submitted to good-faith informal resolution efforts. If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

22. Governing Law

These Terms are governed by the laws of Illinois, United States of America, without regard to conflict-of-law principles.

23. Changes to These Terms

Local Lens may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

24. Entire Agreement

These Terms, together with any project briefs, order confirmations, and incorporated policies, constitute the entire agreement between Business and Local Lens and supersede all prior understandings regarding their subject matter. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
