This Content Usage & Licensing Policy ("Policy") defines the standard usage tiers referenced in Client/Business proposals under the Local Lens Content Business Terms of Service ("Terms"). It supplements Section 7 (License and Use of Content) of the Terms. Capitalized terms not defined here have the meaning given in the Terms.

Each project's approved proposal will specify which tier applies. If a proposal is silent on usage tier, Tier 1 (Organic Only) applies by default.

Pricing: Tier 1 is included in the base price of every project. Tiers 2 through 4 are available as paid upgrades, priced in addition to the base project fee and reflected in the approved proposal.

1. How to Read This Policy

Each tier below defines three things:

  • Scope — where and how Business may use the Content.
  • Term — how long the license lasts.
  • What's not included — use cases that require upgrading to a higher tier or negotiating a custom license.

Tiers are cumulative: each tier includes everything in the tiers below it, plus additional rights.

2. Standard Usage Tiers

Tier 1 — Organic Only

  • Scope: Business may post the Content organically (unpaid) on its own owned social media accounts, website, and internal business communications (for example, email newsletters).
  • Term: Perpetual.
  • Not included: Paid promotion or advertising of any kind, including boosting a post, running the Content as an ad, or including it in a media buy. Use by any third party (for example, a retailer or distributor).

Tier 2 — Organic + Paid Social

  • Scope: Everything in Tier 1, plus the right to run the Content as paid social media advertising (for example, Meta, TikTok, or similar ad platforms) under Business's own handle or ad account.
  • Term: [12] months from the date of content delivery, unless renewed under Section 4.
  • Not included: Use in traditional/broadcast media (TV, radio, print, out-of-home), use by third parties, use beyond the stated term without renewal.

Tier 3 — Full Commercial License

  • Scope: Everything in Tier 2, plus the right to use the Content across broader commercial channels, including paid and organic use on any digital platform, print, out-of-home, and broadcast media, and use by Business's authorized agencies or partners acting on Business's behalf.
  • Term: [24] months from the date of content delivery, unless renewed under Section 4.
  • Not included: Resale or sublicensing of the Content as a standalone product to unrelated third parties; use after license expiration without renewal; exclusivity (Local Lens and the Creator may license the same Content, or substantially similar content from the same shoot, to other parties unless Tier 4 applies).

Tier 4 — Exclusive Buyout

  • Scope: Full, exclusive, perpetual, worldwide commercial rights to the Content across all media and channels, with no obligation to renew.
  • Term: Perpetual.
  • Exclusivity: Local Lens will not license the same Content, or substantially similar content from the same production, to any other party.
  • Availability: Tier 4 must be expressly included in the approved proposal and is priced individually as an upgrade to the base project fee, based on project scope; it is not available as a default add-on to a standard project.
  • Creator portfolio rights: Under the Creator Agreement, Creators may generally display completed work in a personal portfolio once published. Where Business requires that portfolio display also be restricted as part of a Tier 4 buyout, this must be stated in the approved proposal, as it involves an additional accommodation from the Creator.

3. What No Tier Includes, Regardless of Level

The following are excluded from every tier and require separate written permission from Local Lens:

  • Use of the Content in a way that implies a Creator's personal endorsement of a product, service, or claim outside the scope of the original approved brief.
  • Altering the Content in a way that is deceptive, defamatory, or misrepresents the individuals or products shown.
  • Sublicensing the Content to a party not affiliated with Business, except as expressly permitted under a Tier 3 agency/partner use or a Tier 4 buyout.
  • Use of any pre-existing third-party materials incorporated into the Content (for example, licensed music) beyond the scope for which that material was cleared. Where Content includes licensed music, the applicable music license term will be noted in the project brief or proposal and may be shorter than the video/photo usage term stated above.

4. License Renewal

If Business wishes to continue using Tier 2 or Tier 3 Content beyond its stated term, Business may request a renewal through the Platform prior to expiration. Renewal pricing will be based on the original project scope and current Platform rates at the time of renewal. If a license lapses without renewal, Business must cease use of the Content in the expired channels as of the expiration date.

5. Upgrading Tiers Mid-Term

Business may request an upgrade to a higher tier at any time (for example, moving from Tier 1 to Tier 2 to begin paid promotion of previously organic-only Content). Local Lens will provide updated pricing for the upgrade; the new tier and term take effect upon Business's payment of the applicable fee.

6. Geographic Scope

Unless otherwise stated in the approved proposal, all tiers grant worldwide usage rights within the scope defined above.

7. Relationship to the Terms

This Policy is incorporated into, and governed by, the Business Terms of Service, including its provisions on payment, indemnification, limitation of liability, and dispute resolution. In the event of a conflict between this Policy and a specific approved proposal, the approved proposal governs for that project.

8. Changes to This Policy

Local Lens may update this Policy from time to time. Changes apply to new proposals approved after the update's effective date and do not retroactively alter the usage rights of projects already approved under a prior version of this Policy.
