Platform Terms of Service

Welcome to Local Lens Content. These Platform Terms of Service ("Terms") govern your access to and use of the Local Lens Content platform.

1. INTRODUCTION AND ACCEPTANCE

These Terms of Service ("Terms") govern your access to and use of the Local Lens Content platform ("Platform"), operated by Local Lens Content LLC ("Local Lens," "we," "us," or "our"), a limited liability company organized under the laws of the State of Illinois.

By creating an account, submitting a brief, applying as a creator, or otherwise accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

These Terms apply to all users of the Platform, including businesses and brands ("Businesses") and content creators ("Creators"). Additional terms specific to each user type are set forth in our Business Terms of Service and Creator Agreement, which are incorporated herein by reference.

2. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

"Platform" means the Local Lens Content web-based application accessible at locallenscontent.com, including all features, tools, dashboards, and services made available therein.

"Business" means any company, brand, organization, or individual that registers on the Platform to submit content briefs and receive content creation services.

"Creator" means any individual who registers on the Platform to create content for Businesses in exchange for compensation.

"Content" means any photos, videos, or other creative assets produced by a Creator pursuant to a Brief.

"Brief" means a content request submitted by a Business through the Platform describing the scope, requirements, and specifications of a content creation project.

"Project" means the work undertaken by a Creator in response to an approved Brief.

"Deliverable" means the final Content submitted by a Creator and approved for delivery to a Business by Local Lens and approved by Business.

"Services" means the managed marketplace services provided by Local Lens, including creator matching, project management, quality review, and content delivery.

"Account" means a registered user profile on the Platform.

3. ELIGIBILITY

3.1 Age Requirement

You must be at least 18 years of age to create an Account or use the Platform. By using the Platform you represent and warrant that you are at least 18 years old. If you are using the Platform on behalf of a business entity you represent and warrant that you have the authority to bind that entity to these Terms.

3.2 Geographic Eligibility

The Platform is currently available to users located in the United States. Local Lens makes no representation that the Platform is appropriate or available for use in other locations.

3.3 Legal Capacity

By using the Platform you represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not barred from using the Platform under any applicable law.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access the full features of the Platform you must register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

4.2 Account Credentials

You are responsible for maintaining the confidentiality of your Account credentials including your password. You agree to notify Local Lens immediately at hello@locallenscontent.com if you become aware of any unauthorized use of your Account or any other security breach.

4.3 Account Responsibility

You are solely responsible for all activity that occurs under your Account. Local Lens is not liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

4.4 One Account Per User

Each user may maintain only one Account on the Platform. Creating multiple Accounts is prohibited and may result in the termination of all associated Accounts.

4.5 Account Types

The Platform supports two primary Account types — Business and Creator. Each Account type is subject to additional terms set forth in the applicable Business Terms of Service or Creator Agreement. Users may not register for both Account types simultaneously without prior written approval from Local Lens.

5. PLATFORM SERVICES

5.1 Nature of Services

Local Lens operates as a managed marketplace that connects Businesses with Creators for content creation projects. Local Lens is not a party to the underlying content creation arrangement between Businesses and Creators but provides the infrastructure, matching, management, and delivery services that facilitate those arrangements.

5.2 Managed Marketplace

Local Lens operates as a fully managed marketplace. This means that all communication between Businesses and Creators is facilitated by Local Lens. Businesses and Creators do not communicate directly with one another through or outside of the Platform.

5.3 No Guarantee of Results

Local Lens does not guarantee any specific business outcomes, social media performance, algorithmic reach, or commercial results from Content delivered through the Platform. Content performance depends on many factors outside Local Lens's control.

5.4 Platform Availability

Local Lens will use commercially reasonable efforts to maintain Platform availability. However, the Platform may be unavailable from time to time due to maintenance, technical issues, or circumstances beyond our control. Local Lens is not liable for any loss or damage resulting from Platform unavailability.

5.5 Platform Modifications

Local Lens reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time with or without notice. We will endeavor to provide reasonable advance notice of material changes where practicable.

6. FEES AND PAYMENTS

6.1 Business Payments

Businesses are required to pay the fees specified in their Brief or associated proposal prior to or upon project completion as specified in the Business Terms of Service. All fees are stated in United States Dollars.

6.2 Platform Commission

Local Lens charges a platform commission of twenty percent (20%) on all completed transactions. This commission is deducted from the Creator's payout. Businesses pay the full project fee as quoted.

6.3 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a payment through the Platform you agree to Stripe's Terms of Service. Local Lens does not store full payment card details. Payment card data is handled solely by Stripe in accordance with PCI DSS standards.

6.4 Taxes

Each user is solely responsible for determining and paying any applicable taxes arising from their use of the Platform. Local Lens does not withhold taxes on behalf of Creators. Creators who earn $600 or more in a calendar year through the Platform will receive a 1099-NEC tax form as required by applicable law.

6.5 Refunds

Refund eligibility is governed by the Business Terms of Service. Local Lens does not provide refunds for completed and approved projects.

6.6 Disputed Payments

Any payment disputes must be raised with Local Lens in writing within 14 days of the transaction in question by contacting hello@locallenscontent.com. Local Lens will investigate and respond to disputes within a reasonable timeframe.

7. INTELLECTUAL PROPERTY

7.1 Platform Ownership

The Platform, including all software, design, text, graphics, logos, and other content created by or on behalf of Local Lens, is owned by Local Lens Content LLC and is protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Local Lens Platform content without our prior written consent.

7.2 Content Ownership and Transfer

Upon full payment by the Business and delivery of the Deliverable, the Creator assigns all rights, title, and interest in the Content to Local Lens, which in turn licenses those rights to the Business in accordance with the usage rights specified in the Brief. The specific scope of usage rights — whether organic social, paid advertising, or extended use — is determined at the time of Brief submission and governs how the Business may use the delivered Content.

7.3 Content Rights Prior to Payment

Local Lens retains all rights to delivered Content until payment is received in full. The Business's right to use any Content is contingent upon completion of payment.

7.4 User Content License

By submitting any content to the Platform — including Brief details, portfolio samples, profile information, and review text — you grant Local Lens a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and improving the Platform and marketing Local Lens services. This license does not extend to selling your content to third parties.

7.5 Creator Representations

By submitting Content through the Platform, Creators represent and warrant that the Content is original, does not infringe any third-party intellectual property rights, and that the Creator has obtained all necessary consents, releases, and licenses for any persons, locations, music, or third-party materials appearing in or incorporated into the Content.

7.6 Feedback

If you provide Local Lens with any feedback, suggestions, or recommendations regarding the Platform ("Feedback"), you grant Local Lens a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Platform or other products and services without any obligation to you.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

8.1 General Conduct

All users agree to use the Platform in good faith, in compliance with these Terms, and in accordance with all applicable laws and regulations.

8.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Circumvention: Directly contacting, soliciting, or entering into any content creation arrangement with a user you met through the Platform outside of the Platform for a period of twelve (12) months following the completion of any project on which you collaborated. Violation of this provision may result in immediate Account termination and financial damages.

Misrepresentation: Providing false, misleading, or inaccurate information in your Account registration, Brief submission, Creator application, or any other communication through the Platform.

Unauthorized Access: Attempting to access any portion of the Platform for which you do not have authorization, including other users' accounts, administrative systems, or backend infrastructure.

Interference: Taking any action that disrupts, damages, or interferes with the proper functioning of the Platform, including uploading malicious code, conducting denial of service attacks, or scraping Platform data without authorization.

Intellectual Property Infringement: Submitting Content that infringes any third party's copyright, trademark, patent, trade secret, privacy, publicity, or other proprietary right.

Inappropriate Content: Submitting, uploading, or distributing any Content that is obscene, defamatory, discriminatory, harassing, threatening, or otherwise objectionable or unlawful.

Unauthorized Music: Including any copyrighted music, audio recordings, or sound recordings in Content without appropriate licensing. Trending social media audio is not licensed for commercial brand use and may not be used in Content submitted through the Platform.

Spam and Solicitation: Using the Platform's messaging or communication features to send unsolicited commercial messages or solicit users for services outside the Platform.

Multiple Accounts: Creating more than one Account without prior written approval from Local Lens.

Impersonation: Impersonating any person or entity or misrepresenting your affiliation with any person or entity.

8.3 Consequences of Violations

Local Lens reserves the right to investigate any suspected violation of these Terms. If a violation is confirmed Local Lens may at its sole discretion issue a warning, temporarily suspend your Account, permanently terminate your Account, withhold pending payments, pursue legal remedies, or any combination of the foregoing.

9. PRIVACY AND DATA

9.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at locallenscontent.com/legal/privacy. By using the Platform you consent to the collection and use of your data as described in the Privacy Policy.

9.2 Data Security

Local Lens implements industry-standard security measures to protect user data, including encryption at rest and in transit, Row Level Security on all database tables, and secure authentication protocols. However, no security system is impenetrable and Local Lens cannot guarantee the absolute security of your data.

9.3 Data Retention

Local Lens retains user data for as long as your Account is active or as needed to provide the Services. You may request deletion of your Account and associated personal data by contacting hello@locallenscontent.com. Certain data may be retained beyond Account deletion as required by law or legitimate business purposes including tax records and transaction history.

9.4 Third Party Services

The Platform uses third-party services including Supabase for data storage and authentication, Stripe for payment processing, and email delivery providers for transactional communications. These third parties have their own privacy policies governing their use of data. Local Lens is not responsible for the privacy practices of third-party services.

10. THIRD PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites, tools, or services. These links are provided for convenience only. Local Lens does not endorse and is not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of any third-party website or service is at your own risk and subject to the terms of that third party.

11. DISCLAIMERS AND LIMITATION OF LIABILITY

11.1 Disclaimer of Warranties

[ALL-CAPS LEGAL BLOCK] THE PLATFORM AND ALL SERVICES PROVIDED BY LOCAL LENS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. LOCAL LENS DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY CONTENT DELIVERED THROUGH THE PLATFORM WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT OR SOCIAL MEDIA PERFORMANCE.

11.2 Limitation of Liability

[ALL-CAPS LEGAL BLOCK] TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCAL LENS CONTENT LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, EVEN IF LOCAL LENS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Cap on Liability

[ALL-CAPS LEGAL BLOCK] IN NO EVENT SHALL LOCAL LENS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT PAID BY YOU TO LOCAL LENS FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF THE CLAIM DOES NOT ARISE FROM A SPECIFIC PROJECT, LOCAL LENS'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11.4 Essential Basis

[ALL-CAPS LEGAL BLOCK] THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND LOCAL LENS. LOCAL LENS WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Local Lens Content LLC, its members, managers, employees, agents, and affiliates, and Creators, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights including intellectual property rights
• Any Content you submit, upload, or transmit through the Platform
• Any dispute between you and another user of the Platform

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Local Lens at hello@locallenscontent.com and attempt to resolve the dispute informally. Local Lens will use commercially reasonable efforts to resolve any dispute within 30 days of receiving written notice.

13.2 Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

13.3 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13.4 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Chicago, Illinois. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.5 Class Action Waiver

13.6 Time Limitation

Any claim arising out of or relating to these Terms must be brought within one (1) year of the date the cause of action arose, after which such claim is permanently barred.

14. TERM AND TERMINATION

14.1 Term

These Terms are effective from the date you first access or use the Platform and continue until terminated by either party.

14.2 Termination by You

You may terminate your Account at any time by contacting hello@locallenscontent.com. Termination does not entitle you to any refund of fees paid. You remain responsible for any obligations arising prior to termination including payment of outstanding amounts and completion of active projects.

14.3 Termination by Local Lens

Local Lens may suspend or terminate your Account at any time with or without notice for any reason including but not limited to violation of these Terms, fraudulent activity, extended inactivity, or discontinuation of the Platform.

14.4 Effect of Termination

Upon termination all rights granted to you under these Terms immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including Sections 7 (Intellectual Property), 8.2 (Prohibited Activities — Circumvention), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution).

14.5 Data Following Termination

Following Account termination Local Lens will retain your data in accordance with our Privacy Policy and applicable law. You may request deletion of your personal data subject to our data retention obligations.

15. MODIFICATIONS TO TERMS

Local Lens reserves the right to modify these Terms at any time. When we make material changes we will notify you by email or through a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms you must stop using the Platform before the changes take effect.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Business Terms of Service (for Business users), Creator Agreement (for Creator users), Content Usage & Licensing Policy, Model & Location Release, Cookie Policy, and any project briefs, proposals, or order confirmations, constitute the entire agreement between the parties and supersede all prior understandings, whether written or oral, regarding their subject matter. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16.3 Waiver

No failure or delay by Local Lens in exercising any right under these Terms shall constitute a waiver of that right. No waiver of any breach shall be deemed a waiver of any subsequent breach.

16.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Local Lens. Local Lens may freely assign these Terms without restriction.

16.5 Force Majeure

Local Lens shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, power outages, internet disruptions, or pandemics.

16.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Local Lens.

16.7 Notices

All notices to Local Lens must be sent in writing to hello@locallenscontent.com. Local Lens may send notices to you at the email address associated with your Account.

16.8 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.

By using the Local Lens platform you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
