This Creator Agreement ("Agreement") governs your participation as a content creator ("Creator," "you," or "your") on the Local Lens Content platform ("Local Lens," "we," "our," or "us").
By creating a Creator account, accepting a project, or providing content through the Platform, you agree to this Agreement.
1. Purpose
Local Lens connects businesses ("Businesses") with vetted creators to produce authentic social media content. Local Lens manages project communications, quality review, payments, and delivery to Businesses.
Creators are engaged as independent contractors and are not employees, agents, partners, or representatives of Local Lens. Creator desires to provide content creation services through the Local Lens platform and agrees to perform assignments in accordance with this Agreement and any applicable project brief, campaign requirements, policies, or platform terms.
2. Independent Contractor Relationship
Creator is and shall remain an independent contractor.
Nothing in this Agreement creates any employment, agency, partnership, joint venture, franchise, or similar relationship between Creator and Local Lens.
Creator acknowledges and agrees that:
- Creator is not an employee of Local Lens.
- Creator is not entitled to employee benefits.
- Creator may determine when and whether to accept project opportunities.
- Creator is responsible for all taxes, withholdings, insurance, licenses, permits, and regulatory obligations arising from Creator's business activities.
- Creator has no authority to bind, represent, or act on behalf of Local Lens or any Business.
- Creator shall not hold themselves out as an employee, agent, representative, or spokesperson for Local Lens.
- Creators control when and where they work, subject to project deadlines.
3. Eligibility
To become a Creator, you must:
- Be at least 18 years old (or the legal age in your jurisdiction).
- Have the legal authority to enter into contracts.
- Provide accurate and current account information.
- Possess the necessary skills and equipment to perform services.
- Complete any verification requested by Local Lens.
- Maintain an active payment method.
Local Lens reserves the right to approve, reject, suspend, or remove Creator accounts at its discretion.
4. Creator Responsibilities
Creators may be offered opportunities to create photographs, videos, social media assets, testimonials, user-generated content, promotional materials, and related deliverables ("Content").
Local Lens does not guarantee any minimum number of projects, assignments, revenue, opportunities, or earnings.
Creators may accept or reject project opportunities at their discretion.
Once a project is accepted, Creators agree to:
- Produce original content.
- Follow each project brief.
- Meet agreed deadlines.
- Communicate professionally.
- Submit work through the Platform.
- Deliver content that complies with applicable laws and platform policies.
- Not use copyrighted material without permission.
- Obtain any required permissions from people or property owners appearing in content.
5. Accepting Projects
Creators are not obligated to accept every project.
Once a project is accepted, the Creator agrees to complete it according to the project brief unless otherwise approved by Local Lens.
Repeated cancellations, missed deadlines, or poor performance may affect future opportunities or result in account suspension.
6. Content Requirements
Creator agrees that all Content submitted must:
- Be original and created by the Creator.
- Match the approved brief, pitch, and/or concept.
- Meet Local Lens quality standards.
- Not infringe any third-party and/or intellectual rights.
- Be free from unauthorized copyrighted materials.
- Be free from defamatory, unlawful, misleading, deceptive, or offensive content.
- Not contain watermarks or third-party branding unless approved.
- Comply with applicable advertising and disclosure laws.
- Accurately represent personal experiences where required.
No individual under the age of 18 may appear or be identifiable in any Content, under any circumstances, whether as a primary subject, incidental to the shot, or in the background. Creator is solely responsible for ensuring no minor appears in submitted Content and for verifying the age of any individual featured before submission.
Creator shall not use music, images, trademarks, logos, or other content unless Creator possesses all required rights and permissions.
Local Lens may request revisions or reject content that does not meet these standards.
7. Creator Representations and Warranties
Creator represents and warrants that:
- all Content is original and created by Creator unless otherwise disclosed;
- Creator owns or has secured all rights necessary to submit the Content;
- the Content does not infringe any intellectual property, privacy, publicity, contractual, or other rights of any third party;
- Creator has obtained all necessary permissions, releases, and consents from any individuals appearing in the Content;
- no individual under the age of 18 appears or is identifiable in any Content submitted by Creator;
- Creator's performance of services does not violate any agreement with another person or company; and
- Creator will comply with all applicable laws, regulations, and platform policies.
8. Content Review and Revisions
Local Lens reserves the right to review submitted Content for compliance with project requirements and platform standards.
Local Lens may:
- Request revisions;
- Reject non-compliant Content;
- Require resubmission;
- Remove Content from the platform.
Creator agrees to complete up to [2] rounds of reasonable revisions for each deliverable (concept, content) unless otherwise specified in the project brief.
No payment obligation arises until Local Lens approves the Content.
9. Intellectual Property
In consideration for payment under this Agreement, Creator irrevocably assigns to Local Lens all worldwide right, title, and interest in and to the Content and all associated intellectual property rights, including:
- copyrights;
- neighboring rights;
- publicity rights to the extent assignable;
- derivative works rights;
- renewal rights.
The assignment becomes effective upon creation of the Content and is deemed a "work made for hire" to the fullest extent permitted by law. To the extent the Content does not qualify as a work made for hire, Creator hereby assigns all rights to Local Lens.
Creator agrees to execute any documents reasonably necessary to confirm or perfect such ownership.
Creators may not reuse or sell commissioned content unless expressly permitted in writing by Local Lens.
10. Creator Likeness Release
Creator grants Local Lens, its Businesses, affiliates, successors, licensees, and assigns a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use Creator's:
- name;
- image;
- likeness;
- voice;
- social media handle;
- biography;
- appearance;
as incorporated into the Content for marketing, advertising, promotional, commercial, editorial, and business purposes.
Creator waives any right to inspect or approve final uses of the Content.
11. Model Releases / Third-Party Releases
Creator is solely responsible for obtaining all necessary permissions, consents, model releases, location releases, and other approvals required for the creation and commercial use of Content.
Creator shall provide copies of such releases to Local Lens upon request.
12. License to Pre-Existing Materials
If Creator incorporates any pre-existing materials into Content, Creator grants Local Lens and its Businesses a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free license to use such materials in connection with the Content.
Creator warrants they possess all rights necessary to grant such license.
13. Portfolio Use
Unless prohibited by a project brief or confidentiality obligations, Creators may display completed work in a personal portfolio after the business has publicly published the content.
Local Lens may require that certain projects remain confidential.
14. Confidentiality
Creators may receive confidential information regarding Local Lens, Businesses, campaigns, products, pricing, strategies, or marketing plans.
Creators must keep confidential:
- Business identities (where requested),
- project briefs,
- marketing strategies,
- unpublished campaigns,
- pricing,
- platform information,
- and any other non-public information.
This obligation survives termination of this Agreement.
15. Payment
Payment amounts are specified in each project.
Payment amounts specified in each project reflect the total project fee. Local Lens deducts a platform commission of 20% from each payment prior to disbursement to Creator. The amount Creator receives will be net of this commission and will be reflected in Creator's account prior to acceptance of the project.
Payments are made after:
- the final project content is approved by both Local Lens and Business,
- all required deliverables are submitted,
- and any applicable review period has ended.
Creator acknowledges:
- Compensation is limited to agreed project fees.
- Creator is responsible for taxes and governmental obligations.
- Local Lens may withhold payment for incomplete, fraudulent, non-compliant, or rejected submissions.
- Payment shall be made according to Local Lens payment schedules and procedures.
16. Taxes and 1099 Reporting
Creator is responsible for providing accurate tax documentation, including Form W-9 if requested, and acknowledges that Local Lens may issue applicable tax reporting forms, including Form 1099, as required by law.
17. Expenses
Creator bears all expenses associated with performing services, including:
- equipment;
- software;
- internet access;
- travel;
- production costs;
- insurance.
No reimbursement shall be provided unless expressly approved in writing.
18. Content Removal Rights
Upon acceptance of Content and payment, Creator may not revoke, withdraw, terminate, or otherwise restrict the rights granted under this Agreement.
19. FTC Compliance and Disclosures
Creator shall comply with all applicable laws, regulations, and guidance, including:
- Federal Trade Commission endorsement guidelines;
- advertising regulations;
- consumer protection laws;
- social media platform requirements.
Where required, Creators shall clearly disclose material relationships with brands using appropriate disclosure language.
20. Non-Circumvention
Creators agree not to intentionally bypass Local Lens by soliciting or accepting direct work from Businesses introduced through the Platform for a period of 12 months after the last completed project, unless written permission is provided by Local Lens. This obligation survives termination of this Agreement and remains binding for the full 12-month period regardless of when Creator's account is closed.
21. Community Standards
Creators must interact professionally with:
- businesses,
- other creators,
- and Local Lens staff.
Harassment, discrimination, abusive conduct, fraudulent activity, or repeated unprofessional behavior may result in suspension or termination.
22. Platform Rights
To the maximum extent permitted by law:
Local Lens may suspend or terminate Creator accounts for reasons including:
- breach of this Agreement,
- fraud,
- repeated poor performance,
- missed deadlines,
- submission of plagiarized content,
- misuse of the Platform,
- or conduct that harms Businesses or Local Lens.
Local Lens may:
- Remove content.
- Modify platform features.
- Establish eligibility requirements.
- Refuse assignments at its sole discretion.
Nothing in this Agreement guarantees ongoing participation in the platform.
23. Term and Termination
This Agreement begins upon acceptance and remains in effect until terminated.
Either party may terminate this Agreement at any time upon written notice.
Local Lens may immediately terminate for:
- breach of Agreement;
- fraud;
- misconduct;
- quality violations;
- legal or compliance concerns.
Sections relating to intellectual property, confidentiality, non-circumvention, indemnification, dispute resolution, payment obligations, and limitations of liability survive termination.
24. Limitation of Liability
To the maximum extent permitted by law:
- Local Lens shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
- Local Lens's aggregate liability arising out of this Agreement shall not exceed the total amount paid to Creator for the project giving rise to the claim during the six (6) months preceding the event giving rise to the claim.
25. Indemnification
Creators agree to indemnify and hold harmless Local Lens from claims arising from:
- infringement of intellectual property,
- violation of law,
- breach of this Agreement,
- negligent or intentional misconduct,
- or unauthorized use of third-party materials.
26. Platform Disclaimer
The Platform is provided on an "as is" and "as available" basis.
Local Lens makes no guarantee regarding platform availability, earnings opportunities, project volume, Business participation, or uninterrupted access.
27. Data Privacy
Creator shall comply with all applicable privacy and data protection laws.
Creator shall not collect, store, disclose, sell, or misuse personal information obtained through Local Lens or any Business engagement.
28. Audit / Verification Right
Local Lens reserves the right to request information reasonably necessary to verify Creator identity, tax status, ownership of submitted Content, or compliance with this Agreement.
29. Account Security
Creators are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their account.
Creators must immediately notify Local Lens of any unauthorized access or suspected security breach.
30. Dispute Resolution
Any dispute arising from this Agreement shall first be submitted to good-faith informal resolution efforts.
If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
31. Governing Law
This Agreement is governed by the laws of Illinois, United States of America, without regard to conflict-of-law principles.
32. Changes to this Agreement
Local Lens may update this Agreement from time to time. Continued participation on the Platform after changes become effective constitutes acceptance of the revised Agreement.
33. Electronic Acceptance
Creator agrees that electronic acceptance, electronic signatures, and electronic records shall have the same force and effect as handwritten signatures.
34. Entire Agreement
This Agreement, together with any project briefs, platform policies, payment terms, and incorporated documents, constitutes the entire agreement between the parties and supersedes all prior understandings.
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
